Facts:
In a civil case, the Defendants, a real estate
developer and its vice president, appealed from a judgment of Circuit Court of Fairfax
(Virginia), which awarded plaintiff homebuyers compensatory damages and
attorney fees for breach of a real estate sales contract and actual and
constructive fraud upon the plaintiffs. Defendants also appealed from the grant
of a negative easement and an injunction to enforce the rights accorded by the
easement.

The Virginia Court made the following holding:
- The
parol evidence rule does not apply where the writing on its face is
ambiguous, vague, or indefinite or does not embody the entire agreement.

- Where a breach of contract has forced the plaintiff to maintain or defend a suit with a third person, he may recover the counsel fees incurred by him in the suit, provided they are reasonable in amount and reasonably incurred.
