Facts:
In a civil case, the Plaintiff buyers appealed a
decree entered by the Circuit Court of Fairfax (Virginia) in favor of
defendants, a car dealer and manufacturer. The trial court held that the
evidence did not show a substantial impairment of value of the car purchased by
plaintiffs, by reason of the alleged defects, and that the remedy of revocation
of acceptance was not available against the manufacturer who had no contract
with the buyer.

The Virginia Court made the following holding:
- A buyer's right to revoke acceptance does not arise from every breach of warranty, notwithstanding the availability of damages for the breach; it arises only where the value of the goods to the buyer is substantially impaired. The test of such impairment is not, however, a diminution in value of the goods on the open market, or to the average buyer, but rather a substantial impairment of value to the particular buyer involved. Whether substantial impairment of value to the particular buyer exists is an issue to be determined by the trier of fact. The buyer must carry the burden of proof on this issue by a preponderance of the evidence.
